Terms of Service

Please read these terms carefully before using Preplo. By using our app, you agree to be bound by these terms.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NANO-SOFT TECHNOLOGY ("Company," "we," "us," or "our"), a company registered in Romania, governing your access to and use of the Preplo mobile application (the "App") and related services (collectively, the "Service"). By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Description of Service

Preplo is a recipe extraction application that transforms cooking videos from supported platforms (YouTube, TikTok, and Instagram) into structured, actionable recipes. The Service includes:

  • Extracting recipe information from video content using artificial intelligence, including third-party AI services (OpenAI) to parse video transcripts into structured recipes
  • Organizing recipes with ingredients, instructions, and timestamps
  • Generating shopping lists from saved recipes
  • Guided cooking mode with step-by-step instructions
  • Finding nearby grocery stores
  • Tracking cooking activity and streaks
  • Generating AI-powered recipe alterations (e.g., vegan, spicier, or simplified variations)
  • Receiving content from other apps via share intent (sharing a video URL directly to Preplo)
  • Sending push notifications for cooking reminders, recipe suggestions, and extraction updates (with your permission)

Eligibility

You must be at least 16 years of age to use the Service. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration

To access certain features of the Service, you must create an account. You may create an account using your email address and a password, or by signing in with Apple. Account authentication is managed by our third-party authentication provider, Clerk. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, illegal, or harmful activities.

Subscriptions & Payments

Free Tier

The App offers a free tier with limited features. Current free tier limitations include: up to 5 recipe extractions per month, a maximum of 10 saved recipes, and 1 active shopping list. Free tier limitations may be adjusted at our discretion, and we will notify users of material changes.

Premium Subscription

Premium features are available through paid subscriptions. By purchasing a subscription, you agree to the following:

  • Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually) at the price displayed at the time of purchase. A one-time lifetime purchase option may also be available, granting permanent access to premium features
  • Auto-Renewal: Recurring subscriptions (monthly and annual) automatically renew unless cancelled at least 24 hours before the end of the current billing period. Lifetime purchases do not renew
  • Price Changes: We may change subscription prices with notice. Existing subscribers will be notified before any price increase takes effect
  • Payment Processing: All payments are processed through Apple App Store or Google Play Store. We do not directly handle your payment information

Cancellation & Refunds

  • You may cancel your subscription at any time through your device's subscription management settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial subscription periods
  • Refund requests are handled according to Apple App Store or Google Play Store policies

Free Trials

We may offer free trial periods for premium features. At the end of the trial, your subscription will automatically convert to a paid subscription unless cancelled at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service to violate any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Use automated systems (bots, scrapers, etc.) to access the Service without permission
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, viruses, or other harmful code
  • Resell, sublicense, or commercially exploit the Service without authorization
  • Circumvent any access restrictions or usage limits
  • Impersonate any person or entity or misrepresent your affiliation

User Content

You may save recipes, create shopping lists, add personal notes, and generate AI-powered recipe alterations within the App ("User Content"). Regarding User Content:

  • You retain ownership of your User Content
  • You grant us a limited license to store, display, and process your User Content solely to provide the Service
  • You are responsible for ensuring you have the right to use any content you save
  • We do not claim ownership of recipes extracted from third-party videos
  • AI-generated recipe alterations are derivative content created by the Service based on the original extracted recipe; you may use them for personal purposes

We reserve the right to remove User Content that violates these Terms or applicable law.

Third-Party Content & Services

The Service extracts recipe information from third-party video platforms. You acknowledge that:

  • We do not own, control, or endorse content on YouTube, TikTok, Instagram, or other platforms
  • Recipe accuracy depends on the original video content and may contain errors
  • You should verify ingredient quantities and cooking instructions before use
  • Third-party platforms may change their services, which could affect our ability to extract content
  • You must comply with applicable third-party terms of agreement when using the App, including the terms of service of YouTube, TikTok, Instagram, and any other platforms from which content is extracted

We are not responsible for the accuracy, safety, or quality of recipes extracted from third-party content.

The Service relies on third-party providers to deliver core functionality, including Clerk for authentication, OpenAI for recipe extraction and AI-generated alterations, RevenueCat for subscription management, PostHog for analytics, AWS for image storage, and Expo for push notifications. Your use of the Service constitutes agreement to the processing of your data by these providers as described in our Privacy Policy.

Apple App Store Additional Terms

The following additional terms apply to the extent you access or use the App through the Apple App Store. These terms are required by Apple and supplement the rest of these Terms of Service:

Scope of Agreement

These Terms of Service are concluded between you and NANO-SOFT TECHNOLOGY only, and not with Apple Inc. ("Apple"). NANO-SOFT TECHNOLOGY, not Apple, is solely responsible for the App and its content. To the extent these Terms provide rules that are less restrictive than or otherwise conflict with the Apple Media Services Terms and Conditions, the more restrictive Apple terms shall apply.

License

The license granted to you for the App is a limited, non-exclusive, non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The App may be accessed and used by other accounts associated with your account via Family Sharing or volume purchasing.

Maintenance & Support

NANO-SOFT TECHNOLOGY is solely responsible for providing any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

Warranty

NANO-SOFT TECHNOLOGY is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are NANO-SOFT TECHNOLOGY's sole responsibility.

Product Claims

NANO-SOFT TECHNOLOGY, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Claims

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, NANO-SOFT TECHNOLOGY, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Legal Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms of Service, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by NANO-SOFT TECHNOLOGY and is protected by international copyright, trademark, and other intellectual property laws.

  • The Preplo name, logo, and related marks are trademarks of NANO-SOFT TECHNOLOGY
  • You may not use our trademarks without prior written consent
  • The App's design, code, and underlying technology are proprietary
  • Your license to use the App is limited, non-exclusive, non-transferable, and revocable

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of extracted recipes
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the results obtained from using the Service

Food Safety Notice: Always use your own judgment when preparing food. Verify cooking times, temperatures, and ingredient safety. We are not responsible for any adverse effects from following extracted recipes.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • NANO-SOFT TECHNOLOGY shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim
  • We are not liable for any loss of data, profits, or business opportunities
  • We are not liable for damages arising from your reliance on recipe information

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless NANO-SOFT TECHNOLOGY, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

  • Breach of these Terms
  • Fraudulent, illegal, or harmful activities
  • Extended periods of inactivity
  • Upon your request to delete your account

Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through the App settings. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Romania. However, you may also bring proceedings in your country of residence if you are a consumer residing in the EU.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes affecting your rights, we will provide notice through the App or via email at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NANO-SOFT TECHNOLOGY regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral.
